Rapid Back Office — Pakistan | Draft for Pakistan-qualified legal review
Effective Date: [Publication Date]
1. Provider and Contract
The service provider is Noman Ahmed, an individual carrying on business in Pakistan as Rapid Back Office (RBO). The client is the party identified in the accepted quotation or engagement agreement. These terms apply when incorporated into an accepted agreement, not merely because someone browses the website.
2. Scope
Only services and deliverables expressly agreed in the quotation or Statement of Work are included: bookkeeping, cleanup, inventory record management, approved taxation and registrations, ERPNext implementation, managed hosting and functional support. Additional work requires agreement and may be charged separately.
3. Remote Delivery and Client Responsibilities
All services are remote. Clients supply complete records, approve transactions and submissions, authorize system access and remain responsible for physical inventory, warehouse operations, bank payment approvals, and business decisions. RBO does not provide physical stock counts or client-site visits.
4. Bookkeeping
Agreed monthly ledger maintenance, reconciliations and monthly P&L and Balance Sheet; supervisory review before delivery. No independent audit/assurance. Historical backlog, tax filings, payment collection, advanced inventory work and extra reports are excluded unless contracted.
5. Cleanup and Backlog
Historical periods, missing records, retrospective reconciliations and complex corrections are separately scoped and invoiced.
6. ERPNext Implementation
Defined deployment, modules, setup, opening balances, migration, testing, user training, client sign-off and handover. Client verifies data and accepts go-live. Complex historical imports and customization are separate.
7. Managed Hosting
Separate client ERPNext site and database on shared infrastructure; entry plan from PKR 8,000/month exclusive taxes; up to five active user accounts; basic maintenance; daily backups retained 14 days. Other performance, suspension, restoration, disaster recovery and exit arrangements must be defined in the separate hosting agreement. No implied 24/7, uptime or recovery guarantee.
8. Functional Support
Separately contracted monthly or on-demand support; agreed coverage, communication channels, support hours and fees. No automatic major upgrades, development or integrations.
9. Tax/Registration Services
Client provides accurate declarations and signs/authorizes filings. Government fees, taxes, penalties and third-party charges separate. No guaranteed tax, incorporation, trademark or administrative outcome. Litigation, formal appeals and contested trademark proceedings excluded.
10. Fees and Applicable Taxes
Public starting prices do not replace a quotation. Service fees exclusive of applicable taxes unless specifically stated.
11. Bookkeeping Monthly Payments
50% of each recurring monthly bookkeeping fee due at the start of EACH monthly service period; other 50% due 15 calendar days after that period starts.
12. Bookkeeping Cancellation
Either side may give at least 30 calendar days' written notice to the designated contractual address. Termination is effective at the end of a monthly service period satisfying that notice. Full fees apply to commenced periods without partial-month refunds, subject to applicable law and signed terms. Hosting and other services have their own termination arrangements.
13. Late Payments
Reminders may be issued; suspension and termination require contractual notice and legal compliance. No invented default late fee or penalty.
14. Scope Changes
Material modifications to workload, reporting, modules or costs must be agreed before commencing expanded work.
15. Confidentiality and Security
The parties protect nonpublic financial and business information and restrict use to authorized purposes, subject to lawful disclosures. Implement appropriate access controls and material incident communication according to agreed arrangements.
16. Client Records and Work Product
Client owns source documents, underlying accounting and business data. RBO retains pre-existing templates/methodologies; specific report/export/handover deliverables are agreed. Retention, backups and access transfer subject to separate agreements and applicable obligations.
17. Report Review and Corrections
Client reviews deliverables promptly and reports material discrepancies; RBO assesses issues within contracted scope without removing statutory rights.
18. No Guaranteed Outcomes
No guarantees of profit, tax savings, regulatory approval, error-free third-party systems, uninterrupted service or outcomes outside agreed control.
19. Disputes and Liability
Good-faith written escalation first. Liability caps, indemnity, forum and dispute terms require negotiation, signed agreement and Pakistan-qualified legal review; no exclusion of nonexcludable rights.
20. Governing Law and Updates
Applicable Pakistan law, subject to mandatory requirements. Updates to posted terms do not automatically modify signed agreements.
